- Training: Learned knowledge cannot be fully removed without destroying the model.
Jurisdiction and compliance
- Choice of law: Align to risk and enforcement practicality.
- EU AI Act: If the LLM is accessible in the EU, provider may have responsibilities under Article 53—reflect in terms.
Indemnity and attribution
- Indemnities: Limit your coverage to your content as delivered; seek coverage for licensee modifications/derivatives.
- Attribution: Set trademark use, display rules, and kill-switches if alignment breaks; compensation often ties to attribution depth.
Fees and valuation

- Ongoing/pay-per-crawl: For live RAG use; pair with periodic fees.
- Revenue share: Use clear calculations and audit rights.

So what for marketers
Separate training and RAG in the license, and price accordingly. Lock attribution terms and implement APIs to enforce scope and monetization.
