Publishers and AI developers are entering high‑value content licensing deals for training and ongoing use (e.g., RAG). Agreements may include fixed fees or usage‑based pricing and sometimes require attribution or source links in chatbot responses.
Key Deal Terms
- Duration of Use: Single‑use training vs. continuous RAG access to keep outputs accurate and contextually relevant.
- Scope of Use: Precisely define licensed content and authorized activities (e.g., access, analysis, reproduction, combination with other data, preparation of derivatives). Publishers may prohibit training but allow RAG.
- Exclusivity: Many reported deals are non‑exclusive, typically benefiting publishers.
- Effect of Termination: RAG access can be cut off, but deletion of already collected data may be infeasible. For training, it is impossible to fully remove learned information without destroying the model.
- Ownership: Publishers retain rights to their data; licensees retain rights to their models. End users typically own prompts and outputs, subject to separate copyrightability questions and human‑authorship thresholds.
- Jurisdiction and Applicable Law: Global frameworks may apply. If LLMs are accessible in the EU, providers may have compliance responsibilities under EU AI Act Article 53, making choice of law and definitions of “applicable law” material.
- Indemnification: Licensees seek protection against third‑party claims arising from licensor content; licensors seek limits to content “as delivered” and indemnity for licensee modifications/combinations.
- Attribution: Structure, parameters (including trademark use), and potential termination rights if association becomes misaligned.
Valuation and Fees
- One‑Time Fees for training datasets.
- Ongoing/Pay‑Per‑Crawl Fees for continuous RAG access, often paired with periodic payments.
- Revenue Share models where valuation is uncertain, supported by clear calculation methodologies and audit rights.
Well‑drafted agreements balance innovation incentives with enforceable rights, technical realities, and fair compensation.
